Consultora Grupo Baires SA (“CGB”), located at Avenida Hipólito Yrigoyen 3446/3450, Buenos Aires, Argentina, is a company specialized in providing services of design, development, manufacturing and implementation of solutions to improve display and increase shopper interaction with products and services in retail, and is the Exclusive Distributor and Representative in South America and Mexico (the entire South American sub-continent, Central America and Mexico, excluding the rest of North America) of POS Tuning Udo Voßhenrich GmbH & Co. KG ("POS-T"), a German company specialized in the design, development and production of pusher systems and other elements that seek to improve the display, visibility and efficiency at the Point of Sale ("POS").CGB is the Exclusive Distributor and Representative of POS-T, the rights holder and manufacturer of the POS-T shelf-management system and related ("Products"), and offers, in the marketing of its own products, some elements of the POS-T shelf-management system and related products within the indicated territory.Anyone who has a business relationship with CGB, whether as a distributor, business partner, partner, vendor, promoter, exhibitor, merchant, with or without exclusivity, or otherwise, shall be bound by the following terms and conditions, unless otherwise agreed in writing and signed by mutual agreement between the contracting parties.

1. Products
All POS-T shelf-management system products referred to in the POS-T catalogs (online or printed), parts and price lists under the brand name "Pusher POP/ POS-Tuning T, are for exclusive use and distribution by CGB, unless an exception is contained in a written agreement signed between the parties to a commercial relationship.

2. Rights & Obligations
All parties contracting with CGB:
a) Guarantee good commercial treatment to any customer who requires, may require, use or in any way is exposed to POS-T's Products.
b) Shall endeavor to employ qualified personnel to develop and support sales with the POS-T Products.
c) With prior approval of CGB, may use the PUSHER- POP/POS-Tuning brand logo on the Projects.
d) Will require CGB's approval for any marketing or sales materials developed for the promotion of POS-T Products.

3. Business relationship/Indemnity
CGB is an independent company incorporated in Argentina.Each party contracting with CGB is an independent business and/or tradesman in its performance and compliance with each clause of the present terms and conditions, and is fully responsible for its decisions and the execution of its work.None of the obligations assumed by the contracting party commits CGB. This is an exclusive commercial relationship, and each party is fully responsible for all its commercial, labor, union, tax and other obligations of any kind.In their relationship, CGB shall be held harmless by the contracting party against any judicial and/or extrajudicial claim, for capital, interest, fines, penalties, costs and expenses.
Within the scope of such commercial relationship, the contracting party with CGB commits itself to make its best efforts to commercialize, distribute and position the Products with continuous work and to comply with good business practices. This includes, for example, providing customers with import, warehousing and installation services, if required, if applicable.

4. Non-competition clause
Neither the company contracting with CGB nor any other associated or related company or its members may copy, develop, manufacture or sell products in competition with the products in the POS-T or CGB catalog. These obligations shall remain in force without time limit.
Any party contracting with CGB agrees NOT to act as a distributor or partner of competitors of POS-T or CGB or to use competitors of POS-T or CGB or use Products or systems of the style in competition with CGB Products.

5. Insurances
Each party contracting with CGB shall carry all insurances applicable by law and commercially appropriate and shall keep them in effect, paid for and up to date, at its sole responsibility. No obligation arising from any event, misfortune, accident, incident, damage suffered and/or caused within the scope of the contracting party shall be transferable to CGB, who shall be held harmless by the contracting party in its relationship with any judicial and/or extrajudicial claim, for capital, interest, fines, penalties, costs and expenses.

6. Condition and warranty of products
The Products supplied by CGB shall be checked by the Contracting Party for quantity, quality, performance, condition and any other aspect at the time of delivery, quality, performance, condition, and any other aspect, at the time of delivery. In the event of a defect, CGB shall be notified immediately. If the contracting party does not make an immediate complaint or report, the Product shall be deemed to be accepted and approved. No subsequent claims will be accepted.
Certain deviations in color, size and/or appearance that are not significant are permissible. The parties shall discuss the deviation by mutual agreement. In case of doubt, it shall be understood that the Products do not present relevant deviations.In the event that a Product presents a defect and/or failure that could not be noticed at the time of delivery having been properly checked, because the defect and/or failure was not visible, or in the event that it is a structural and/or essential performance failure, the Contracting Party shall give notice to CGB who shall procure its repair and/or, at its discretion, its eventual replacement.
This warranty shall be given for a term of one (1) year from delivery of the Product in question and only if: (1) the defect could not have been noticed upon delivery, despite proper and diligent inspection; (2) the Product in question has been properly maintained, protected, installed, stored, used and treated by the Contracting Party, and (3) the Product in question has not suffered damage caused by the Contracting Party and/or by third parties and/or by events not attributable to CGB, under the Contracting Party's care.

7. Product transportation
In case the Products are transported by the contracting party, the insurance and transportation costs, the packaging for their proper transportation and everything relevant to the contracting and execution of the transportation, shall be borne by the contracting party, without having any claim against CGB in this respect or in case of delay, non-delivery, non-compliance of any kind and/or damage during loading, transportation and unloading.

8. Price conditions, date and method of payment
All price conditions, as well as the date and form of payment of the Products, shall be agreed between the parties in each case.

9. Confidentiality and non-disclosure
The party contracting with CGB acknowledges that it may become aware of CGB's information, including trade secret and technical information and/or confidential information about CGB, including trade and technical secrets and/or confidential customer information, which may include confidential, commercial and technical secret information and business activities of POS Tuning Udo Vosshenrich GmbH & Co. KG, Germany, or of affiliates or associates or business partners of POS Tuning Udo Vosshenrich GmbH & Co. KG, Germany, or related companies ("Confidential Information").
The contracting party therefore undertakes not to disclose to third parties or use in any way, directly or indirectly, the Confidential Information that has become known to it or to which it has had access by any means, unless for a purpose authorized in writing by CGB.The contracting party agrees to take sufficient measures to maintain the confidential nature of all information so deemed and shall not make unauthorized copies of any such information. It further agrees to notify CGB immediately of any discovery of unauthorized use or disclosure of Confidential Information and to assist CGB as necessary to cause such use or disclosure to cease.
Confidential Information shall include all technical and commercial information, including but not limited to the contents of reports, specifications, quotations, formulas, computer records, customer lists, pricing schedules, and other similar information.

10. Delivery of documents
All documents or records or creations, written instructions, drawings, photographs, computer programs, notes or memos, among others, relating to the CGB business that have been provided to the contracting party are and shall remain the property of CGB and shall be delivered to CGB upon request. The contracting party with CGB may not retain copies of such documents or extracts therefrom.

11. Property rights
The contracting party shall have no rights over the intellectual, industrial, use or ownership rights of CGB (or its related and/or associated companies), and, with the exception of the use that is necessary to comply with the obligations or exercise the rights arising from the business relationship and according to the terms and conditionsexpressly agreed in writing between the parties, no license or authorization to use such intellectual property rights of CGB is granted to any contracting party.

12. Jurisdiction and applicable law
All commercial relations, as well as these Terms and Conditions shall be governed and construed by the laws of the Republic of Argentina and the parties agree to the jurisdiction of the courts of the city of Buenos Aires, Argentina, expressly waiving any other jurisdiction,for any dispute or claim that may arise from this instrument or its interpretation or from the relationship between them or any other event related to such interpretation of this instrument or the relationship.

13. Notifications
All notifications addressed to the contracting party at the address reported to CGB in writing and/or at the legal address registered in the corresponding registry shall be considered valid.
